7. User-Generated Content
If our Website allows you to post comments, reviews, or other content ("User Content"), you represent and warrant that:
- You own or have the necessary rights to the User Content
- The User Content does not violate any third-party rights
- The User Content complies with these Terms and applicable law
By submitting User Content, you grant Social Spark Agency a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, and distribute the User Content in connection with the Website. 9. Service Agreements
All engagements are governed by a written Service Agreement (proposal, quotation, or contract) signed or accepted in writing (including via email) by both parties. The Service Agreement will specify:
- Scope of work and deliverables
- Project timeline and milestones
- Pricing and payment schedule
- Revisions included and additional charges
- Other project-specific terms
In case of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for matters specifically addressed therein.
10. Pricing and Payment Terms
10.1 Pricing
All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are exclusive of applicable taxes (GST), which will be added to the invoice as per Indian tax regulations. International clients will be billed in USD or INR as mutually agreed.
10.2 Payment Schedule
Unless otherwise specified in the Service Agreement, the standard payment schedule is:
- 50% advance upon signing the Service Agreement
- 25% on mid-project milestone (e.g., design approval or development milestone)
- 25% on project completion, prior to final delivery
10.3 Payment Methods
We accept payments via bank transfer (NEFT/RTGS/IMPS), UPI, Razorpay, PayPal (for international clients), and other methods as agreed. Payment details will be provided on the invoice.
10.4 Late Payments
Invoices are due within 7 days of issue. Late payments may incur interest at 1.5% per month (or the maximum rate permitted by law) from the due date until paid in full. We reserve the right to suspend work on overdue accounts.
10.5 Disputed Invoices
Any disputed charges must be raised in writing within 7 days of the invoice date. Undisputed portions of the invoice must still be paid on time.
11. Refund and Cancellation Policy
11.1 Cancellation by Client
If the Client cancels the project after work has commenced, the following refund schedule applies:
- Within 48 hours of advance payment (and before work begins): 90% refund
- After work begins, before design approval: 50% of advance may be refunded
- After design approval: No refund; pro-rated invoicing for work completed
- After development/implementation begins: No refund; client pays for work completed + any third-party costs incurred
11.2 Cancellation by Social Spark Agency
We reserve the right to terminate a project if the Client:
- Fails to provide required materials or feedback within agreed timelines (beyond 30 days)
- Breaches these Terms or the Service Agreement
- Engages in abusive, unethical, or illegal conduct
In such cases, the Client will be billed for work completed up to the termination date, and no refund will be issued for completed work.
11.3 No Refunds on Specific Services
The following are non-refundable once delivered or initiated:
- Domain name and hosting purchases (third-party costs)
- Third-party plugin, theme, or software licenses
- SEO and digital marketing retainer fees (services rendered for the period)
- Google Ads / Meta Ads spend (paid directly to the ad platform)
- Google AdSense approval service fees (as success depends on Google's discretion)
12. Project Timelines and Delivery
Timelines specified in the Service Agreement are estimates based on reasonable assumptions about Client cooperation and content availability. Delays caused by the Client (e.g., late feedback, delayed content delivery, scope changes) will extend deadlines accordingly. We are not liable for delays beyond our reasonable control.
13. Client Responsibilities
The Client agrees to:
- Provide accurate, complete information and all materials (text, images, logos, brand guidelines) required for the project in a timely manner
- Review deliverables and provide feedback within the agreed review period
- Make timely payments per the agreed schedule
- Respect the revision limits specified in the Service Agreement
- Ensure that all materials provided by the Client are free of copyright, trademark, or other intellectual property infringement
- Comply with applicable laws (e.g., GDPR, DPDP Act) regarding data collected through the deliverable
14. Confidentiality
Each party agrees to maintain the confidentiality of all non-public information received from the other party. This obligation survives termination of the engagement. A separate Non-Disclosure Agreement (NDA) may be executed for sensitive projects upon Client request.
15. Warranties and Disclaimers
15.1 Our Warranty
We warrant that our services will be performed in a professional and workmanlike manner, consistent with industry standards.
15.2 No Other Warranties
EXCEPT AS EXPRESSLY PROVIDED, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
15.3 No Guarantee of Results
While we strive for excellent outcomes, we do not guarantee:

- Specific business outcomes (leads, sales, conversions)
- Google AdSense approval (final decision rests with Google)
- Continuous, error-free operation of third-party services integrated into deliverables
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIAL SPARK AGENCY, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunity
- Damages arising from your use of or inability to use the Website
- Any third-party conduct, content, or services
OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE THAT GAVE RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
17. Indemnification
You agree to indemnify, defend, and hold harmless Social Spark Agency and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from:

- Your violation of these Terms
- Your violation of any third-party rights (including intellectual property)
- Content or materials you provide for a project that infringe third-party rights
18. External Links & Third-Party Content
Our Website may contain links to third-party websites or services not owned or controlled by Social Spark Agency. We are not responsible for the content, privacy policies, or practices of any third-party websites. Your use of third-party sites is at your own risk.
19. Advertising Relationships
Our Website may display third-party advertisements (e.g., via Google AdSense) and affiliate links. We do not endorse the products or services advertised, and we are not responsible for the quality, accuracy, or legality of third-party advertising content. Your interactions with advertisers are solely between you and the advertiser.
20. Termination

25. Dispute Resolution
25.1 Amicable Resolution
In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiations for a period of 30 days.
25.2 Arbitration
If the dispute cannot be resolved amicably, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed. The seat of arbitration shall be Bhopal, and proceedings shall be conducted in English. The arbitrator's decision shall be final and binding.
